Santander completed its acquisition of Webster, exchanging each Webster common share for 2.0548 Santander ADSs plus $48.75 in cash. Webster's ticker was delisted at closing, so it remains only historical context for the transaction. The combined United States business reported pro-forma scale of about $327 billion in assets, $185 billion in loans and $172 billion in deposits as of December 31, 2025. That scale could make the business more deposit-funded and broaden commercial and relationship banking, but those benefits depend on customer retention and integration. Santander's roughly eighteen-percent return-on-tangible-equity ambition for 2028 is a management target, not an achieved result. Omar's objective is balance-sheet forensics: closely watch deposit retention and funding costs, credit quality and reserves, integration expenses and synergy delivery, plus capital and regulatory disclosures.
